JULY 1, 2019, THERE WAS A MERGER OF G-DRILLING S.A. AND UNITED OILFIELD SERVICES S.A. THE MERGER TOOK PLACE THROUGH THE ACQUISITION OF G-DRILLING S.A. BY UNITED OILFIELD SERVICES S.A.

G-Drilling is only the present name and form of the oldest drilling company in Poland. The new name is to symbolize both the quality of the previous PRWiG and the orientation towards the needs of the clients in Poland as well as abroad. We do not dissociate ourselves from history, we are proud of it…

History

1896 – Registration of the company: “ M. Łempicki i Spółka – Przedsiębiorstwo Górnicze, Wiertnicze i Hydrogeologiczne (M. Łempicki & Co. – Mining, Drilling and Hydrological Company”) in Sosnowiec. The founder and owner of the company was a Polish entrepreneur Michal Lempicki. Deed of association confirming its creation was written in 1900.

1912 – The company transformed into: “Biuro Wiertnicze i Robot Górniczych M. Łempicki I Spółka” (The Drilling and Mining Office M. Lempicki &Co.)  with its seats in Sosnowiec , Fabryczna 26 and in Warsaw,  Wlodzimierska 15. This moment is marked as the establishment of our company.

1914 – The outbreak of World War I caused a temporary reduction of business. After the war and re-establishment of a free Polish  limits and difficulties ended. The company develops its business, expanding the range of performed services, performing exploration drillings, drilling related to mining, hydrology  and construction.

1924 – The company changes its name to “Przedsiębiorstwo Wiertnicze i Robót Górniczych M. Łempicki i Spółka w Sosnowcu” (Drilling and Mining Company M. Lempicki & Co. in Sosnowiec”).

1931 – occurs another name change to: “M. Łempicki –  Spółka Akcyjna – Przedsiębiorstwo Górnicze, Wiertnicze I Hydrogeologiczne” (M. Lempicki – joint-stock company – Mining, Drilling and Hydrogeology Company). It had one of its offices in Warsaw, Aleje Jerozolimskie 15.

The thirties were the time of the company’s rapid development. In this period it performed works for mining and hydrotechnic works like mounting a pipeline of 650-mm  diameter in the Royal Iron Works and constructing foundation piles for the building of Bank Gospodarstwa Krajowego in Poznań. Apart from this the company also drilled wells for Ciechocinek spa to the depth of 1200 m and for the city of Lodz to the depth of 800m.

1939 – The development was slowed down by the outbreak of World War II. Despite the occupation, the company still conducted its business which is illustrated by the registration card of the branch in Warsaw dated to 1944.

1945 – The company takes part in the reconstruction of Warsaw. It helped to recreate the sewer system and to support the Vistula riverbank slope.

21.06.1947 – On the basis of the decision No. 6 of the Minister of Industry and Trade the company was nationalized.

1950 – company was transformed into a ” Przedsiębiorstwo Wierceń Geologiczno – Poszukiwawczych Nr 2” (Geological and Exploratory Drilling Company No. 2) with its seat in Warsaw, Pulawska 18.

1951 – Changed name is on: “Warszawskie Przedsiębiorstwo Wierceń Geologiczno – Poszukiwawczych” (Warsaw Company of Geological – Exploration Drilling) and in 1956 for “Warszawskie Przedsiębiorstwo Geologiczne Górnictwa Węglowego” ( Warsaw Geological Company of Coal Mining).

 

1960s and 1970s

The sixties and seventies were times of prosperity for company. It worked towards the goal of self-efficiency for the country in the field of natural resources extraction. The company expanded its drilling capability, and now owned a couple of dozen of drilling machones.

1976 – Ordinance No. 23 of the President of CUG 18.12.1975 on a merger with the Enterprise Hydrogeology in Warsaw, and established the unit was renamed the “Drilling WorksCompany in Warsaw.”

Simultaneously Kombinaty Geologiczne (Geological Combines Collectives) were established. Among them was was the” North” Geological Combine Collective wchih supervised the new enterprise.

1982 – Ordinance No. 14 of the President of CUG dated 02.27.1982 r.  gained full autonomy and took the name “Przedsiębiorstwo Robót Wiertniczych i Górniczych w Warszawie” (Warsaw Drilling and Mining Enterprise) located at Pulawska 18, and often used the  abbreviation PRWiG Warsaw.

At that time, company employed more than 1500 employees. It worked mainly for the National Geological Institute, conducted exploration and documentation works on resource deposits in the territory of Poland.

1989 – Due to political changes PRWiG started to operate in the new market conditions. Limitation of exploration drilling materials financed from the state budget meant that the company had to reduce the scope of activities to suit the market demand.

 

PRESENTLY

1990 – 2007 – a period of intense restructuring. As a result of cost reductions including elimination of redundant production potential and reduce the number of owned technical bases company has become ready to operate in an increasingly competitive market.

2008 – after the sale of the office building, the Company moved from Puławska 18 to Warsaw Urysnów District, keeping its office under the old address.

31.12.2008 – after negotiations with the Ministry of Treasury PRWiG Warsaw became privatized after years of functioning as a national company. The company was sold to an employee-owned company.

01.01. 2009 – the Company conducted its business as Przedsiębiorstwo Robót Wiertniczych i Górniczych w Warszawie Sp. z o. o. (Warsaw Drilling and Mining Ltd.)

2011 – Due to the development of shale gas program in Poland several companies with plans concerning this field of activity became interested in PRWiG. Among those potential investors were PeBeKa from KGHM Polska Miedź S.A. and PKN Orlen S. A.

2012 The most profitable offer of investment in the development of PRWiG was presented by Wieslaw Podraza, the owner of Grupa Sanplast S.A. (Sanplast Group, joint-stock company). An investment agreement with him was signed in January 2012.

01.12.2012 – The company transformed into a joint-stock company

01.08.2013 – The company finalized its process of rebranding into G – Drilling S. A.

ZAWIADOMIENIE O POŁĄCZENIU G-DRILLING S.A. Z UNITED OILFIELD SERVICES S.A.

Zmiana firmy spółki z United Oilfield Services S.A. na UOS Drilling S.A. 

 

Szanowni Państwo,
informujemy, że dnia 1 lipca 2019 r. nastąpiło połączenie G-Drilling S.A. z United Oilfield Services S.A. (UOS). Połączenie nastąpiło poprzez przeniesienie całego majątku G-Drilling S.A. jako spółki przejmowanej na United Oilfield Services S.A. jako spółkę przejmującą.

W konsekwencji połączenia spółek, G-Drilling S.A. jako spółka przejęta, z dniem połączenia została rozwiązana i przestała istnieć jako osobny podmiot w obrocie prawnym, a we wszystkie jej prawa i obowiązki wstąpiła United Oilfield Services S.A., kontynuując dotychczasową działalność G-Drilling S.A.

Dzięki połączeniu United Oilfield Services S.A. oraz G-Drilling S.A. powstał podmiot o potencjale, który umożliwia nam skuteczne konkurowanie nie tylko na rynku polskim, ale również i w Europie. Gama urządzeń oraz doświadczenie obu firm pozwawa na świadczenie najwyższej jakości usług wiertniczych we wszystkich obszarach rynku oraz w dowolnej formule współpracy z inwestorami. 

Dnia 30 września 2019 r. Sąd zarejestrował zmianę firmy spółki z United Oilfield Services S.A. na UOS Drilling S.A.
